Introduction

As of the date of writing, Rockhopper is trading at around 86p, Eco Atlantic at approximately 52p, and Navitas at around 12,900 agorot.

On April 2, 2026, Argentina issued a new official statement regarding the Falkland Islands and, more specifically, the Sea Lion project led by Rockhopper and Navitas1.

At first glance, the message appears familiar:
strong language, reaffirmation of sovereignty claims, and warnings against what Argentina defines as "illegal" hydrocarbon activity.

However, beneath the surface, there is a subtle but important shift.

This is no longer just a repetition of past objections.
This is a statement issued after FID, after financing, and after the project has entered execution mode.

And that changes everything.

What Argentina Actually Said – And What Matters

The majority of the statement repeats well-known positions:

• Sovereignty claims over the Falklands (Malvinas)

• Reference to UN resolutions and international forums

• Opposition to "unilateral" development

But one section stands out:

Argentina reaffirms its willingness to reach a peaceful and lasting solution through renewed negotiations with the United Kingdom.

This is the key.

Not the rhetoric. Not the threats.
The framework.

Because when a country shifts emphasis toward negotiation, it implicitly acknowledges something:

👉 The situation is no longer theoretical.
👉 The project is moving forward.

As mentioned in the official letter:

This statement comes at a very specific moment:

• FID has already been taken

• Capital has been committed

• Suppliers are engaged

• Execution has begun

• JHI (PL001 license) merges with Eco Atlantic

And importantly:

• Rockhopper has now published an updated independent reserves evaluation.2

2. Navitas’s partnership agreement in the PL001 licence.

3. The merger of JHI into Eco Atlantic through a share transaction.

Together, these developments create a significant uplift in value across the region's projects.

Resource Report Update: Higher Cash Flow Despite Lower Oil Price Assumptions

The latest update to the contingent resources report for the Sea Lion project highlights an interesting point 🔗 link to the announcement on the Tel Aviv Stock Exchange reporting system (Maya Reporting System).

On the one hand, the report is based on more conservative oil price assumptions compared to the previous report. According to the report's economic parameters, the Brent price used in the model is approximately USD 63 per barrel in 2026 and around USD 73 per barrel thereafter.

I have been waiting for the right moment to issue the update letter on QualiTau. Tonight, February 23, 2026, QualiTau announces an extraordinary private placement that I would like to discuss in detail.

Follow-up article to the analysis of the results for Q3

In my previous letter, I reviewed QualiTau’s Q3 2025 financial report. In this letter, I will address the private placement and several additional updates and key messages that emerged, among other things, during the conference call held on December 1, 2025. During the call, I raised several questions to the company’s management, which received detailed responses and added another layer of clarity regarding the demand environment, growth drivers, and the challenges expected in 2026.

QualiTau’s conference call paints a much broader picture than what can be seen in the financial statement alone: not only a historic record quarter, but also a structural shift in the composition of demand, in the map of geographic opportunities, and in the role of the company’s solutions and products within the global semiconductor industry. The remarks made during the call reinforce, in many respects, the analysis presented in the previous article.

In this letter, I will attempt to consolidate the full picture, interpret management’s remarks, and place them within the broader context of the investment thesis I presented in my previous letter.

Material Private Placement: A Step Change

QualiTau announced that its Board of Directors approved a private placement of 368,852 shares at a price of NIS 610 per share, for total gross proceeds of approximately NIS 225 million. In addition, 184,426 non-tradable warrants were allocated, exercisable at NIS 750 for a period of six months.

The placement is a highly significant transaction given the company's size.

Transaction Structure

• Placement price: NIS 610 per share

• Warrants: One warrant for every two shares

• Exercise price: NIS 750

• Exercise period: 6 months

• Immediate dilution: Approximately 7.48%

• Fully diluted impact: Approximately 10.31%

The warrants are currently out of the money, creating a clear incentive for participants to support the share price above NIS 750.

The participants include institutional investors and qualified investors, some of whom are existing significant shareholders. This is not a retail capital raise, but rather smart institutional capital entering the company.

Why Is This a Strategic Move?

A Dramatic Strengthening of the Balance Sheet

Despite starting from an already strong balance sheet, the addition of approximately NIS 225 million to the company’s cash position meaningfully changes its financial flexibility.
This enables:

• Larger-scale inventory purchases

• Improved negotiating leverage with suppliers

• Shorter delivery times for customers

• The ability to capitalize on market opportunities

Improved Capital Markets Profile

An increase in free float, alongside the entry of meaningful institutional investors, leads to higher liquidity, broader analyst coverage, and an overall improvement in the quality of the shareholder base.

Potential Inclusion in the TA-90 Index

A move of this magnitude increases market capitalization, improves liquidity, and reinforces institutional ownership.
All of these are critical criteria in index rebalancing processes.

In addition, the very existence of out-of-the-money warrants creates a clear incentive to support the market price. In other words, participants are incentivized to continue purchasing the company’s shares in the open market, increase their holdings, reduce the available free float, and naturally push the share price higher.

We have seen similar structures in the past, including Next Vision, Tel Aviv Stock Exchange Ltd., Navitas Petroleum, and others, some of which I have previously covered in the newsletter and on X.

In those cases, the entry of high-quality institutional capital reshaped the ownership structure and led to meaningful long-term value creation. I have written several times about the theory of shareholder rotation and the entry of new investors, including in the context of QualiTau.

Operational Angle

QualiTau operates in an industry where inventory availability and delivery times are critical.

Available capital enables:

• Early-stage production

• The build-up of strategic inventory

• Greater responsiveness to large orders

• Strengthening its position with global customers

This is not a defensive capital raise.
This is a growth-oriented capital raise.

The Drawback / Risk

• A dilution of approximately 7.5% is not negligible (10.3% including warrants).

• If the market does not provide support, the warrants may expire unexercised.

• Continued dependence on a strong order intake trajectory.

In my view, while there is dilution and the event may be interpreted negatively in the short term, capital coming from institutional investors typically signals forward-looking confidence.

One of the proposed amendments seeks approval of Section 5.7, which would allow the General Partner, at its discretion, to invest part of the partnership’s excess liquidity in financial assets (“Interim Investments”).

According to this section, Navitas Petroleum will be permitted to engage in mergers, acquisitions, and investments in financial instruments and shares of companies that own oil and gas assets. This means that the company can act indirectly and does not need to invest directly in oil and gas assets. This approach is similar to how Delek Group has operated in recent years. However, these investments are capped at 5% of the partnership’s issued capital.

Fundamental change: Allows the partnership’s management to invest in financial assets, including oil and gas assets, through company investments and mergers. Allows for greater flexibility when cash flow is strong, or capital is abundant, at a time when the supply of oil assets on the shelf at attractive prices (such as Shenandoah and Sea-Lion) is decreasing.

Explicit Authority to Sell Assets or Subsidiaries

I recently posted on my X account that, according to Bloomberg, BlackRock is putting Beacon-Offshore, Navitas’ partner in the Shenandoah property (30% stake in the partnership), up for sale for an asking price of USD 5 billion, which calls into question the value of Navitas’ stake (49% stake in the partnership).

In a document published by Navitas, the partnership presents for approval at the meeting the proposal to amend Section 12 (“Powers and Duties of the General Partner”), which concerns the authority of the general partner to sell or transfer an asset from the partnership or a corporation held by the partnership, “in whole or in part” —> Is it possible that this is the Shenandoah property and the subsidiary Navitas Petroleum Shenandoah, LLC?

Fundamental change: Allows the partnership’s management to sell oil assets after improving and implementing them, rather than holding them as income-producing assets for long periods.

Expanded Definition of “Distribution” – Including Buybacks

Section 12.3.12: It was clarified that profit distribution also includes “any other distribution,” including the buyback of participation units.

Fundamental change: Allows buybacks as an alternative to dividends, under management authority, a way to return value to the shareholders.

השקעת יתרות מזומנים בנכסים פיננסיים (“השקעות ביניים”)

בסעיף זה מביאה השותפות בקשה לאישור סעיף 5.7 לפיו השותף הכללי יהיה רשאי, אם ימצא זאת כמתאים, להשקיע סכומים מתוך היתרות הנזילות של השותפות בנכסים פיננסיים (“השקעות ביניים”).

לכאורה, לפי סעיף זה, נאוויטס פטרוליום תוכל לפעול לביצוע מיזוגים, רכישות, השקעות במכשירים פיננסיים ובמניות של חברות אשר מחזיקות בנכסי נפט וגז. לפעול באופן עקיף ולאו דווקא להשקיע באופן ישיר בנכסי הנפט והגז. די דומה לאופן שבו דלק קבוצה פועלת בשנים האחרונות. עם מגבלה של עד 5% מההון המונפק של השותפות.

שינוי מהותי: מאפשר להנהלת השותפות להשקיע בנכסים פיננסיים, בין היתר מעולמות הנפט והגז, דרך השקעה בחברות וביצוע מיזוגים. מאפשר גמישות רבה יותר כאשר ישנו תזרים מזומנים חזק או הון רב, בתקופה שבה היצע נכסי הנפט אשר עומדים על המדף במחירים אטרקטיביים (כגון: שננדואה וסי-ליון) -- הולך וקטן.

סמכות מפורשת למכירת נכסים / חברות מוחזקות

לאחרונה פרסמתי בחשבון ה-X שלי כי לפי פרסומים ברשת Bloomberg, חברת Blackrock מעמידה למכירה את Beacon-Offshore, השותפה של נאוויטס בנכס שננדואה (30% חלקה בשותפות), לפי שווי של 5 מיליארד דולר. מה שמעמיד בשאלה את שווי חלקה של נאוויטס (49% חלקה בשותפות).

במסמך שפרסמה נאוויטס, מביאה השותפות לאישור באסיפה את ההצעה לתיקון סעיף 12 (“סמכויות השותף הכללי ותפקידיו”), אשר נוגע בסמכות של השותף הכללי למכור או להעביר נכס מנכסי השותפות או תאגיד המוחזק בידי השותפות, “כולו או חלקו” —> האם יתכן כי מדובר בנכס שננדואה וחברת הבת Navitas Petroleum Shenandoah, LLC?

Capital Raise Update

Eco Atlantic raised USD 10 million from Israeli institutional investors through a direct equity subscription at the prevailing market price (27.5p)1. The transaction implies an immediate dilution of around 8.5%, with a further potential dilution of around 7.9% if all warrants are exercised at a higher strike price, taking total dilution to around 17% on a fully diluted basis.

The transaction also includes one warrant per new share, exercisable at 40p over three years, which could result in an additional ~8.5% dilution if fully exercised, alongside a meaningful cash inflow to the company.

Introduction

Navitas closed the trading day on Jan 21, 2026, at 10,970 points.

Navitas Petroleum has reported a USD 1.35 billion financing transaction to refinance the project-level debt at Shenandoah, replacing ILS-denominated bonds with flexible USD-denominated debt and establishing a flexible credit facility1.

As a reminder, the Shenandoah project has been producing oil for approximately six months. During October, the company reported an increase in production rates to roughly 100,000 barrels of oil per day2.

This allows us to mark another ✅ milestone on the list of value-accretive steps expected under the investment thesis I have outlined in previous posts, with particular reference to the January update.

At the end of this letter, I will present the updated checklist again.

The Core Concept of Debt Refinancing

🔹 Reduction of FX (foreign exchange) risk: The new debt is denominated in USD, just like oil revenues. This natural matching reduces unnecessary volatility.

🔹 Accordion mechanism: The outstanding debt balance will expand and contract in line with the project's pace and needs. The implication is a lower effective interest cost on average debt over time.

🔹 Improved liquidity at the partnership level: Not only at the Shenandoah project level. This opens operational flexibility for additional drilling and future expansions.

Hedging the Shenandoah Oil Asset

Navitas applies a hedging policy under which a portion of the oil production is sold at fixed prices. As time passes, the hedging tenor is extended or shortened, and the reference price is updated based on market conditions.

When oil prices are high, it makes sense to lock in longer hedge durations. When prices are lower, the opposite applies. This is professional risk management and an art in its own right.

Financing Additional Drilling Going Forward

The geology at Sea Lion (Falkland Islands) is expected to be more favorable for exploration than that at the Shenandoah project (Gulf of America). There are logistical challenges, but these also existed at Shenandoah. This risk is already reflected in the discount rate the market assigns to the project.

Today, unlike during the development phase at Shenandoah, Sea Lion benefits from a strong foundation:

• Cash flow from Shenandoah

• A reputation of an execution-focused management team that advances and delivers large-scale projects

With a stable cash flow base, execution can move faster. Time is a costly resource in projects of this nature.

Current technology is significantly more advanced than it was 10–15 years ago, reducing the margin of error in exploration.

Sea Lion is on track to production, and upcoming investments will focus on infrastructure development. To maximize economic value, additional wells will be drilled gradually, as is customary in large-scale development projects.

In my view, there is a meaningful chance that the level of contingent resources will not remain the same six months, one year, or two years from now. As drilling progresses, the probability of additional discoveries increases. Local assessments in the Falklands speak of hundreds of millions of additional barrels in nearby areas, while the external evaluator’s reports (NSAI) point to significant potential, despite being relatively conservative.

מהות המהלך למימון מחדש של החוב

🔹 הפחתת סיכון מטבע: החוב החדש נקוב בדולר, כמו ההכנסות ממכירת הנפט. התאמה טבעית שמצמצמת תנודתיות.

🔹 מנגנון אקורדיון: יתרת החוב תגדל ותקטן לפי קצב וצרכי הפרויקט. המשמעות היא ריבית אפקטיבית על חוב ממוצע נמוך יותר לאורך זמן.

🔹 שיפור נזילות ברמת השותפות: לא רק ברמת פרויקט שננדואה. נפתח מרחב תמרון תפעולי למימון קידוחים והרחבות בהמשך.

גידור נכס הנפט בשננדואה

בנאוויטס קיימת מדיניות גידור: חלק מהנפט נמכר במחיר קבוע. עם התקדמות הזמן, מאריכים או מקצרים את תקופת הגידור ומעדכנים את מחיר הייחוס בהתאם למחיר השוק.

כאשר מחיר החבית גבוה, יש היגיון במח״מ ארוך יותר. כאשר המחיר נמוך, להפך. זהו ניהול סיכונים מקצועי, ואומנות בפני עצמה.

מימון קידוחים נוספים בהמשך

הקרקע בסי-ליון (פוקלנד) צפויה להיות נוחה יותר לאקספלורציה ביחס לקרקע בפרויקט שננדואה (מפרץ אמריקה). קיימים אתגרים לוגיסטיים, אך הם היו גם בשננדואה. זהו סיכון שמגולם בשיעור ההיוון שהשוק מייחס לפרויקט.

היום, בניגוד לתקופת הפיתוח בשננדואה, סי־ליון נהנה מגב חזק:

• תזרים מזומנים משננדואה.

• מוניטין של הנהלה “ביצוענית” שמקדמת ומיישמת פרויקטים גדולים.

כאשר יש גב תזרימי יציב, ניתן לפעול מהר יותר. זמן הוא משאב יקר בפרויקטים מסוג זה.
